ARTICLE I.    NAME

The name of this Corporation shall be the SAPULPA SOCCER CLUB. (thereafter referred to as SSC)       

                                                                                                                                    ARTICLE II.   PURPOSE

The purpose for which this corporation is formed is to further promote the progressive development of this sport of youth soccer through organization, training and education; to organize a soccer team or teams to compete and participate in youth soccer; to promote the progressive development of the sport of soccer

through the establishment and development of programs for minors; to receive gifts, legacies, and donations from any source whatsoever to be used solely to promote the health, welfare, and recreation of this corporation for the development of the sport of soccer.

ARTICLE III.   MEMBERS

SECTION 1       A soccer team or teams shall be admitted to membership and formed by the Sapulpa Soccer Club upon written application to and acceptance by the Board of Trustees.

SECTION 2       A member shall be a soccer player and his or her parents or legal guardian. A member shall also be a soccer coach, staff or volunteer of SSC.

SECTION 3       In order to continue membership, members must maintain good standing with respect to timely payment of dues and fees.

SECTION 4       ONLY SSC Members in good standing 18 years of age and older are eligible to vote.

SECTION 5       Any member or coach who does not uphold the rules of the Sapulpa Soccer Club may be removed upon a majority recommendation of the Games Committee and a majority vote of the membership body in session.  Five days notice will be given for such special called membership meetings.

ARTICLE IV.   BOARD OF TRUSTEES

SECTION 1       The Board of Trustees shall be composed of nine members of the SSC. All members will serve a two year term, 5 expiring in odd numbered years, and 4 expiring in even numbered years.

SECTION 2A     A member of the Board of Trustees must be a member in good standing of the SSC.

SECTION 2B     If a member of the Board of Trustees becomes a member not in good standing for any reason: That member may petition, for a majority vote of the Board of Trustees, to maintain his or her position on the Board of Trustees until the Annual Membership Meeting in May.

SECTION 2C     If a member of the Board of Trustees does not fulfill his/her duties to the SSC, the Board of Trustees may remove that member from the Board of Trustees by a majority vote of the remaining Board of Trustee members.

SECTION 3       Vacancies on the Board of Trustees created by expiring terms shall be filled at the Annual membership meeting in May.  All members of the Board of Trustees shall be elected by ballot or show of hands.  All members of the Board of Trustees shall serve the length of the term for which they were elected.

SECTION 4       In the event of a vacancy on the Board of Trustees prior to the annual meeting, the remaining Board members shall appoint a successor to fill the vacancy for the remaining term.

SECTION 5       The Board of Trustees shall have general supervision of the affairs of the SSC between its business meetings; make recommendations to the membership; and shall perform such other duties as are specified in these bylaws and otherwise shall be subject to the orders of the membership and none of its acts shall conflict with action taken by the membership.

SECTION 6       The Board of Trustees shall review the Treasurer’s records as of April 30. Once reviewed and approved, the Treasurer’s books and records shall be returned to the SSC President who turns them over to the elected Treasurer at the annual meeting.

SECTION 7       Unless otherwise ordered by the Board of Trustees, regular meetings of the Board of Trustees shall be held monthly and the date / time of the meeting will be posted to inform the membership.

SECTION 8       Special meetings of the Board of Trustees can be called by the President and shall be called upon the request of two members of the Board of Trustees. Three days notice of a special meeting shall be given, unless waived.

SECTION 9       Five members of the Board of Trustees shall constitute a quorum, provided further that no vote shall be cast by proxy.  Majority vote of the Board of Trustees present shall govern.

SECTION 10      The newly elected Board shall meet in special session immediately following their election at the annual meeting.  At this time they shall receive the Bylaws of the SSC and all records and books of the immediate past officers and committees.  The immediate past President of the SSC is responsible for seeing that all records are brought to the annual meeting.  The newly elected President shall be responsible for all Committee records (i.e. registrar, games, etc.) until new committees are named.  The newly elected Board of Trustees shall name all Committees within one month.

ARTICLE V.   MEETINGS

SECTION 1       There shall be a meeting of SSC members in the months of February, May, August, and October.  Date / Time of the meeting will be posted to inform the membership.

SECTION 2       The membership meeting in May shall be known as the Annual Meeting and shall be for the purpose of nominating & electing the Board of Trustees, receiving reports of officers and committees, and for any other business that shall arise.

SECTION 3       Special membership meetings may be called by the President or shall be called upon request of the members of the Board of Trustees or upon request of five members of SSC. The purpose of the meeting shall be stated in the notification.  At least five days notice shall be given.

ARTICLE VI.   OFFICERS

SECTION 1       Officers of the SSC shall be elected from the members of the Board of Trustees by the members of the Board of Trustees

SECTION 2       Officers of the board of Trustees shall be the following:

                                                a. President

                                                b. First Vice President

                                                c. Second Vice President

                                                d. Secretary

                                                e. Treasurer

SECTION 3       Annual election of officers shall be held in a special session following the annual membership meeting.

SECTION 4       No member on the Board of Trustees shall hold more than one (1) office at a time.   Succession is allowed.

SECTION 5       The President shall preside at all meetings of the SSC and shall be the general manager of the SSC.

SECTION 6       The First Vice President shall act in the absence of the President with the same power and authority and shall perform such other duties as may be assigned by the President.

SECTION 6a      The First Vice President shall serve as Director of Fields

SECTION 7       The Second Vice President shall act in the absence of the President and the First Vice President with the same power and authority and shall perform such other duties as may be assigned by the President.
SECTION 7a      The Second Vice President shall serve as Director of Communications and will be the Chairman of the Communications Committee and the Coordinators Committee.

SECTION 8       The Secretary shall keep the records and minutes of all meetings of the SSC, shall give notice of meetings, and shall have general custody of the records of SSC.

SECTION 9       The Treasurer shall receive, disburse, and account for all of the funds of the SSC which shall be kept in a bank or banks designated by the Board of Trustees. The Treasurer shall prepare annually for presentation at the Annual Meeting an accounting of receipts and disbursements of the SSC during the preceding year.

SECTION 10      In the event of a vacancy occurring in any office of the SSC, the Board of Trustees shall appoint a successor to the office by Majority vote at a special meeting. Any officer of the SSC who resigns must give written notice of the resignation.

ARTICLE VII.   COMMITTEES

SECTION 1                   All Committees shall consist of a Chairman and members appointed by the Chairman (as outlined below for each committee), subject to the approval of the Board of Trustees.

A.     The Chairman of each committee shall be a current member of the Board of Trustees.

B.     The SSC Board of Trustees shall have the right, at any time, to remove any appointed   Committee Chairman or Committee Member for just cause.

C.     Such other committees shall be appointed by the President as the membership or Board of Trustees so directs.

D.     All minutes, reports, and/or decisions issued by the SSC Committees shall be submitted  to the SSC Secretary within 10 days.

SECTION 2       The Games Committee shall consist of the Chairman and not less than three (3) and not more than five (5) members.  Members shall be appointed by the Chairman, subject to the approval of the Board of Trustees. 

A.    The SSC Games Committee shall assure that all games are played in accordance with the GCSA Rules of Competition. The SSC Games Committee shall hear all SSC protests and appeals. 

SECTION 3       The Team Formation Committee shall consist of the Chairman and not less than three (3) and not more than five (5) members.  Members shall be appointed by the Chairman, subject to the approval of the Board of Trustees. 

A.     The Team Formation Committee shall assure that all players are placed on teams according to the SSC Team Formation Policy

SECTION 4       The Communications Committee shall consist of the Chairman and not less than three (3) and not more than five (5) members.  Members shall be appointed by the Chairman,  subject to the approval of the Board of Trustees. 

A.         Preseason notification to the public about upcoming Soccer Season

SECTION 5        The Coordinators Committee shall consist of the Chairman and Coordinators for each age group ( U3/4, U5, U6, U8, U10, U12, U14, U16, etc ).   Members shall be appointed by the Chairman, subject to the approval of the Board of Trustees.

A.     Provide the Board of Trustees feedback from each of the age groups.

SECTION 6   The Referee Committee shall consist of the Chairman (Referee Assignor OR Area Referee) and not less than three (3) and not more than five (5) members.  Members shall be appointed by the Chairman, subject to the approval of the Board of Trustees.

A.     The Referee Committee shall be responsible for the recruiting, training, and supervising of all SSC Club Referees.

SECTION 7   The Communications Committee shall consist of the Chairman and not less than three (3) and not more than five (5) members.  Members shall be appointed by the Chairman,  subject to the approval of the Board of Trustees.

ARTICLE VIII. PARLIAMENTARY AUTHORITY

The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the SSC in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order the SSC may adopt.

                                                                                                            ARTICLE IX. AMENDMENT OF BYLAWS

These bylaws can be amended at any regular meeting of the membership by a majority vote of the membership present, provided that the amendment has been submitted in writing at the previous regular meeting or at a special meeting called less than two weeks prior to the regular meeting.

                                                                                                                        ARTICLE X.   FISCAL YEAR

The fiscal year of the SSC shall be from July 1, of any year to June 30, of the following year.

ARTICLE XI. NONPROFIT STATUS / DISSOLUTION

This corporation is not organized for pecuniary profit, nor shall it have any power to issue certificates of stock or declare dividends, and no part of its net earnings shall inure to the benefit of any member, director, trustee or individual. The balance, if any, of all money received by the corporation from its operation, after payment in full of all debts and obligations of the corporation of whatsoever kind and nature, shall be used and distributed exclusively for carrying out the purpose or purposes of the corporation, as more particularly set forth herein above. Upon the dissolution of the corporation, the Board of Trustees shall, after paying or making provisions for the payment of all of the liabilities of the corporation in such a manner, or to such organization or organizations organized and operated as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Law, as the Board of Trustees shall determine. Any of such assets not so disposed of shall be disposed of by the District Court of the County in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations as said court shall determine, which are organized and operated exclusively for such purposes, provided further that in no event shall any of the corporation’s assets or property in the event of its dissolution go or be distributed to any director, member or individual, either for the reimbursement or any sums subscribed, donated or contributed by such trustee, member or individual, or for any other purpose.

                                                                                                                                    ARTICLE XII AFFILIATION

The Sapulpa Soccer Club is a member of the Green Country Soccer Association, and is affiliated with the Oklahoma Soccer Association, the United States Youth Soccer Association, the United States Soccer Association and agrees to abide by the rules, policies, and procedures established by these organizations as they pertain to youth soccer; unless otherwise amended by Standing Resolutions or Standing Rules passed by the majority vote of the membership of the Sapulpa Soccer Club.

                                                                                                                        ARTICLE XIII RIGHT OF APPEAL

Decisions of the Sapulpa Soccer Club (SSC) may be appealed to the Green Country Soccer  Association(GCSA), then to the Oklahoma Soccer Association(OSA), then the United States Soccer Federation (USSF) or the United States Youth Soccer Association(USYSA) as appropriate following their procedures and policies as outlined in the USSF Official Administrative Rulebook and the USYSA Official Administrative Rulebook.
